Connect Business Systems

1. Introduction

  • Connect Business Systems of Wakefield Pl, Brisbane, Queensland, ("CBS", the “Service Provider”) is the provider of the Connect Business Directory, CRM, cloud contact system, web hosting platform, cloud infrastructure (including VPN and security systems), business connection service and sales support service (the "Services") available through this website. These Terms and Conditions ("Terms") govern your access to and use of our services. By using our services, you agree to be bound by these Terms.

  • "Customer" refers to any individual or business entity that accesses or uses the services provided by CBS, including those who purchase, subscribe to, or otherwise engage with our Connect Business Directory and associated platforms. This includes potential customers, current customers, and anyone who interacts with our services.
  • 2. Subscription Services and Payment

    1. Subscription Model: Businesses may pay a subscription fee for a specified number of connections through the Connect Business Directory. Additional connections or more specific/detailed connections can be purchased for an extra fee.
    2. Active Service Requirement: Connections are provided only while the subscription is active. If a cancellation request is made while an order is pending, that order will not be fulfilled. Cancellation requests must be made after the completion of an order, which may be towards the end of the month. CBS may enforce a 30-day notice period for cancellations at its discretion.

    3. Service Level Agreement (SLA)

    1. Uptime Guarantee: CBS strives to maintain the availability of its services, including web hosting and cloud systems. While we aim for high availability, no specific uptime is guaranteed unless explicitly stated in a separate SLA document.
    2. Compensation: In the event of significant downtime, CBS may offer compensation at its discretion. All compensation requests must be submitted within 30 days of the incident.

    4. Data Privacy and Compliance

    1. Data Processing Agreement (DPA): CBS complies with applicable data protection laws. We have a Data Processing Agreement in place for handling personal data.
    2. Third-Party Data Sharing: Customer data may be shared with third-party providers as necessary for service delivery. All third-party data sharing is governed by applicable data protection laws and customer consents.

    5. Acceptable Use Policy (AUP)

    1. Prohibited Activities: Customers are prohibited from using CBS services for illegal activities, spamming, posting offensive content, or any activities that may harm CBS or its users.
    2. Consequences: Violations of this AUP may result in suspension or termination of services, at CBS’s discretion.
    3. Compensation: CBS may seek compensation for any damages or losses incurred due to violations of this AUP. The Customer will be responsible for any costs associated with such violations.

    6. Termination Clause

    1. Mutual Termination Rights: CBS reserves the right to terminate any customer’s access to services for violations of these Terms or any activity that could harm CBS’s business interests.
    2. Effects of Termination: Upon termination, access to services will be revoked, and any outstanding fees must be paid. Confidentiality obligations survive termination.

    7. Intellectual Property Rights

    1. User-Generated Content: Customers retain ownership of content they upload to CBS platforms but grant CBS a perpetual, royalty-free license to use, modify, and distribute that content as part of its services.
    2. Feedback and Suggestions: CBS reserves the right to use any feedback or suggestions provided by customers without any obligation to the customer.

    8. Changes to Services

    1. Modification Rights: CBS reserves the right to modify, suspend, or discontinue any part of its services at any time without prior notice.
    2. Notice of Changes: Significant changes to services or these Terms will be communicated to customers through email or updates on the CBS website.

    9. Force Majeure

  • CBS is not liable for any failure to perform due to unforeseen circumstances beyond its control, such as natural disasters, war, or cyberattacks.
  • 10. Non-Solicitation and Non-Compete

    1. Non-Solicitation: Customers agree not to solicit CBS employees or contractors for employment or business engagements outside of CBS services.
    2. Platform Exclusivity: Connections made through the Connect Business Directory must be maintained within the platform. Engaging with connections outside of the platform is considered a breach of this agreement. In such cases, CBS may seek compensation for any damages or losses incurred due to the breach, and the Customer will be responsible for any associated costs.
    3. Non-Compete: Customers agree not to use CBS services to directly compete with CBS’s business interests.

    11. Confidentiality

    1. Confidential Information: Both parties agree to keep confidential any proprietary information shared during the course of business. Confidential information includes, but is not limited to, business plans, strategies, customer lists, and any other relevant information.
    2. Obligations: The confidentiality obligations survive the termination of this agreement.

    12. Governing Law and Arbitration

    1. Governing Law: These Terms are governed by the laws of Queensland and the Commonwealth of Australia.
    2. Dispute Resolution: In the event of a dispute, CBS prefers to resolve issues amicably through direct negotiation. If a resolution cannot be reached, disputes will be settled by arbitration in Queensland, Australia. Customers waive their right to pursue class action lawsuits.

    13. Disclaimer of Warranties

  • CBS services are provided "as-is" without any warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.
  • 14. Limited Liability

  • CBS’s liability is limited to the amount paid by the customer for the services in the six months preceding the incident. CBS is not liable for any indirect, incidental, special, or consequential damages arising from the use of its services.
  • 15. Indemnification

  • Customers agree to indemnify and hold CBS harmless from any claims, damages, or liabilities arising from their use of CBS services, including any legal fees incurred by CBS.
  • 16. Failure to Enforce

  • Failure by CBS to enforce any term does not constitute a waiver of its right to enforce that or any other term in the future. All terms and conditions are enforceable independently and at CBS’s discretion.
  • 17. Costs and Personal Guarantee

  • If CBS pursues legal action to enforce these Terms, the customer agrees to pay all associated costs. Additionally, the director of any business that signs with CBS offers a personal guarantee to cover any bills incurred by their company.
  • 18. Miscellaneous

    1. Entire Agreement: These Terms constitute the entire agreement between CBS and the customer, superseding all prior agreements.
    2. Severability: If any part of these Terms is found to be unenforceable, the remaining parts will continue in full force and effect.
